 Kars has far lower AP then Cell which will make him as cocky as when Hercule fought him which is effectively suicide. Now to be fair, Ultimate Kars is very cocky too but he still will actually attack to kill. One major issue for Kars to get around is Cell's regeneration and if he at all rage quits and self-destructs. Kars standard tactics is wrongly worded since his actual opening is light blade which can cut through hamon so ki would actually have an issue here. Due to his 400 IQ and Cell loving to tell people about his regenerative nucleus too, he'd be able to get that part of Cell. Giving it to Kars due to Cell's cockiness.

Kars could likely enhance his light blades with Hamon in order to overcome Cell's regeneration since Hamon on it's own could get through Pillar Man regeneration, which likely is just a weakness of the Pillar Men but still felt like it's worth mentioning since it might work here. Kars is just the smarter fighter even if he is also cocky, Cell is just cockier, so giving it to Kars.

 Cell suffers from the classic case of DB cockiness, where they believe thanks to their being stronger than an opponent, everything will go in their favor. From getting gobsmacked by the Final Flash to even egging on Gohan to become a ssj2, I believe Kars ends up winning, even if it's just a light blade to the nucleus kind of thing.
